Terms of Service

The Site describes the web design, automation, artificial intelligence, and analytics services we offer. Service descriptions, “starting at” prices, and estimates on the Site are general information, not an offer or a binding quote, and may change at any time.

Client work is governed by our Master Services Agreement and a written Statement of Work signed by both parties, which set the scope, fees, timeline, and other terms of each project. No Statement of Work is binding until both parties sign it. If these Terms conflict with a signed Master Services Agreement or Statement of Work, the signed agreement controls for the services it covers.

Unless a Statement of Work says otherwise, prices exclude taxes and third-party costs such as hosting, domain registration, software licenses, and platform subscriptions.

You may use the Site only for lawful purposes and in line with these Terms. You agree not to:

• Attempt to gain unauthorized access to the Site, its systems, or any account, including client or administrative areas
• Interfere with or disrupt the Site, including by introducing malware or placing an unreasonable load on our infrastructure
• Copy, scrape, or harvest content or contact information from the Site by automated means
• Submit false information, impersonate anyone, or use the Site to send spam or unlawful content
• Use the Site in any way that violates applicable law or the rights of others

We may suspend or restrict access to the Site at any time, including to protect the Site or its users.

If we give you access to a client portal or other account, you are responsible for keeping your login details confidential and for all activity under your account. Tell us right away if you believe your account has been accessed without permission.

When you submit information through the Site or send it to us, you confirm that it is accurate and that you have the right to share it. You allow us to use it to respond to you and to provide our services, as described in our Privacy Policy. If you send us feedback or suggestions, we may use them without any obligation to you.

Program description. When you opt in, Cognaraz may send you text messages about your inquiry or project, including replies to your questions, call scheduling and reminders, project updates, and billing notices. You can opt in by texting us first, by checking a consent box on one of our forms, or by giving us your consent verbally or in writing.

• Message frequency varies based on your inquiry or project.
• Message and data rates may apply. Contact your wireless provider for more information about your text or data plan.
• Opting out. You can cancel at any time by replying STOP to any message. You can also reply CANCEL, END, QUIT, or UNSUBSCRIBE. We will send one message confirming that you have been unsubscribed, and then we will stop texting you unless you opt in again.
• Help. Reply HELP for assistance, or email us at zhixian@cognaraz.com.
• Carriers are not liable for delayed or undelivered messages.
• Consent is not a condition of purchase. You do not have to agree to receive text messages to buy any of our services.
• Eligibility. You must be at least 18 years old and the account holder for the mobile number, or have the account holder’s permission, to opt in.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes, and text messaging opt-in data and consent will not be shared with any third parties. See our Privacy Policy for details on how we handle your information.

The Site and its content, including text, graphics, logos, illustrations, and code, are owned by Cognaraz or its licensors and are protected by intellectual property laws. You may view and print pages from the Site for your own personal or internal business use. You may not copy, modify, distribute, or create derivative works from the Site without our written permission. “Cognaraz” and our logo are our trademarks.

Ownership of work we create for clients is governed by the applicable Master Services Agreement and Statement of Work.

Illustrations, sample screens, and sample data on the Site are for demonstration only. They do not show real client data or represent results that any particular business will achieve.

If the Site offers a chat assistant or other automated or AI-powered features, their responses are generated automatically and may be incomplete or inaccurate. They are provided for general information only, are not professional, legal, or financial advice, and do not create a binding quote or commitment. Please do not share sensitive personal information through these features.

The Site may link to or rely on third-party websites and services that we do not control. We are not responsible for their content, availability, or practices, and your use of them is governed by their own terms.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, COGNARAZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION ON THE SITE WILL LEAD TO ANY PARTICULAR BUSINESS, TRAFFIC, CONVERSION, OR REVENUE RESULT.

TO THE FULLEST EXTENT PERMITTED BY LAW, COGNARAZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR OUR COMMUNICATIONS WITH YOU. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

These limits do not apply to services provided under a signed Master Services Agreement, which contains its own limitation of liability.

You agree to defend, indemnify, and hold harmless Cognaraz and its members, employees, and contractors from any third-party claims, damages, and costs, including reasonable attorney’s fees, arising from your misuse of the Site or your violation of these Terms or the law.

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to their jurisdiction. Before filing a claim, you agree to contact us and try in good faith to resolve the dispute informally for at least fifteen (15) days.

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page. Your continued use of the Site after changes take effect means you accept the updated Terms.

If any part of these Terms is found unenforceable, that part will be limited or removed to the minimum extent necessary and the rest will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, reorganization, or sale of our business. These Terms and our Privacy Policy are the entire agreement between you and Cognaraz about your use of the Site. Nothing in these Terms creates a partnership, employment, or agency relationship.
